Terms of Service

1. Overview

Semestr LLC, doing business as Kabuna (“Kabuna”, “we”, “us”), provides a recruitment workflow platform (the “Service”) for companies to manage candidates, applications, and hiring processes.

By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. Eligibility & Accounts

You must be authorised by your organisation to create an account and use the Service on its behalf.

You are responsible for maintaining the confidentiality of your login credentials and for activity under your account.

3. Customer Responsibilities

You represent and warrant that you have a lawful basis to collect, upload, and process candidate data using the Service.

You are responsible for:

• How you use candidate data and hiring decisions you make
• Ensuring you comply with applicable employment and privacy laws
• Managing user access within your organisation
• Obtaining any required consents (e.g. interview recording, where applicable)

4. Acceptable Use

You agree not to:

• Use the Service for unlawful, discriminatory, or abusive purposes
• Attempt to access data belonging to other organisations
• Reverse engineer, scrape, or probe the Service (except as allowed by law)
• Upload malware or content that disrupts or damages the Service
• Use the Service to violate third-party terms (e.g. unauthorised job board scraping)

5. Third-Party Services (Google & Microsoft Integrations)

The Service may allow you to connect third-party services such as Google and Microsoft to enable email features.

If you connect a third-party service, you authorise Kabuna to access and process data made available through the permissions you grant, solely to provide the requested functionality.

Your use of third-party services is also governed by their terms and policies. Kabuna is not responsible for third-party services.

6. Service Availability

We aim to keep the Service available, but we do not guarantee uninterrupted operation. The Service may be temporarily unavailable due to maintenance, updates, or outages.

During Beta, you acknowledge that performance and availability may be limited.

7. Data & Security

We implement reasonable security measures to protect the Service. However, no system is 100% secure, and you use the Service at your own risk.

You are responsible for configuring your organisation’s access controls and ensuring only authorised users can access your account.

8. Fees & Payments

The Service may be offered for free during Beta. If we introduce paid plans, we will provide notice and any payment terms will apply from the date you choose a paid plan.

9. Termination

You may stop using the Service at any time.

We may suspend or terminate access to the Service at our discretion, including if we believe you have violated these Terms, pose a security risk, or if required by law.

10. Disclaimers

The Service is provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability

To the maximum extent permitted by law, Kabuna will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill.

In all cases, Kabuna’s total liability under these Terms will not exceed the greater of:

• the fees paid by you to Kabuna in the 3 months preceding the event; or
• €100 (or local equivalent) if you have not paid any fees.

12. Changes to These Terms

We may update these Terms from time to time. Changes will take effect when posted, with the updated effective date.

13. Governing Law

These Terms are governed by the laws of Israel, without regard to conflict of law principles.
